Terms of Service

1. About these terms

Incepxion AI is operated by Incepxion Services Inc., Philippines (“Incepxion,” “we,” or “us”). These Terms govern your use of our application and related services. By creating an account or using the service as a workspace user, you agree to these Terms. If you do not agree, do not use the service.

You must be at least 18 years old and have the legal capacity to enter this agreement. If you act for a business or another organization, you confirm that you have authority to accept these Terms on its behalf.

People who only message a connected Facebook Page are not required to become Incepxion users or accept these workspace Terms. Our Privacy Policy explains our handling of their information. The Page operator's own terms and privacy notice also apply to its activities.

2. What the service provides

Incepxion AI provides a Messenger inbox, contacts, keyword triggers, visual flows, user input, custom fields, tags, conditions, actions, and optional AI replies for connected Facebook Pages. Available functionality depends on your configuration, Page authorization, and the services needed to run it.

You decide which flows and instructions to use and when to enable automation. Test your configuration before publishing it and monitor conversations after changes. A saved draft does not, by itself, publish a flow.

3. Accounts, teams, and Page access

Provide accurate account information and connect only Pages you are authorized to manage. Keep your login credentials, API keys, and access tokens secure. Use individual team accounts and assign only the access each person needs. Notify us promptly if you suspect unauthorized access.

Workspace owners are responsible for their authorized team members' use of the service and for removing access when it is no longer appropriate. You must not access another customer's workspace, impersonate a Page owner, or share credentials to evade access restrictions.

Connecting a Page authorizes us to process its messaging events and send messages according to your configuration and the permissions you grant. You can manage connections in the application and revoke authorization through Meta. Do not provide your Facebook password to Incepxion or another workspace user.

4. Facebook and Messenger requirements

Your use of Facebook and Messenger must comply with Meta's applicable terms, messaging policies, permission requirements, and restrictions. Send messages only where permitted, respect customer requests to stop communications, and do not use automation to evade messaging windows, rate limits, or enforcement.

Meta may change its APIs, permissions, availability, or your access. Incepxion cannot grant Meta permissions, guarantee app approval, or guarantee message delivery. Incepxion AI is an independent service and is not sponsored or endorsed by Meta. Facebook and Messenger names and trademarks belong to their respective owners.

5. Acceptable use

You must not use the service to:

• Send spam, phishing messages, scams, deceptive offers, threats, or unlawful harassment.
• Distribute malware, infringe intellectual property, or promote unlawful products or activities.
• Collect or disclose personal information without a lawful basis or use customer data for an undisclosed purpose.
• Request passwords, payment card security codes, or other authentication secrets through a chatbot.
• Probe other accounts, bypass security or usage limits, interfere with the service, or misuse API credentials.
• Misrepresent an automated reply as an authorized human decision or make business claims you cannot substantiate.

Do not use the service as an emergency service or as the sole basis for decisions requiring qualified medical, legal, financial, or other professional judgment.

6. Automation and AI replies

AI features are optional and depend on the selected provider, model, and credentials. When enabled, relevant messages, instructions, conversation context, and selected field values may be sent to that provider as described in our Privacy Policy.

AI output can be inaccurate, incomplete, or inappropriate. Provide accurate business instructions, review your setup, and arrange human review for important questions. Do not rely on AI to invent prices, stock availability, guarantees, policies, or commitments. You remain responsible for the business information and communications you authorize.

Use the available human takeover controls when a person needs to handle a conversation. Automation and AI availability are not guarantees of continuous support, sales results, or error-free responses.

7. Your content, privacy, and data

You retain your rights in the messages, instructions, images, flows, and other content you provide. You grant Incepxion a limited right to store, process, transmit, and display that content as necessary to operate the service, follow your authorized instructions, protect the service, and meet legal obligations. This does not transfer ownership or authorize unrelated advertising use of Messenger content.

You are responsible for having the necessary rights and lawful basis for the information you collect and process. Provide appropriate privacy notices, obtain consent where required, limit collection to what is necessary, and respect requests concerning personal information. Applicable requirements include the Philippine Data Privacy Act.

Our Privacy Policy explains processing, service providers, retention, and privacy requests. For access, correction, or deletion, follow the data deletion and privacy request instructions. Disconnecting a Page, logging out, or marking a conversation Done does not automatically delete stored records.

8. Third-party services and charges

Facebook, Messenger, AI providers, and other third-party services have their own terms and may impose separate charges or limits. You are responsible for charges incurred through the provider accounts and API keys you authorize, subject to your agreements with those providers.

Any paid Incepxion plan, billing cycle, renewal, cancellation, or refund conditions must be disclosed and agreed separately before the related charge applies. These Terms do not establish an undisclosed fee, automatic renewal, or blanket no-refund policy, and do not override mandatory consumer rights or a separate purchase agreement.

If you sell goods or services through a connected Page, you are responsible for your offers, transactions, fulfillment, customer support, and applicable refund obligations. Providing messaging software does not make Incepxion the seller in those transactions.

9. Incepxion's software and branding

Incepxion and its licensors retain their rights in the application, software, branding, and documentation. Subject to these Terms, you may use the service for your authorized business activities. You may not copy or resell the application, remove ownership notices, or use our branding in a way that falsely suggests endorsement. Rights provided by applicable law and separate open-source licenses remain unaffected.

10. Availability and changes to the service

We may maintain, improve, or change the service. Interruptions can result from maintenance, faults, security incidents, expired credentials, or third-party outages. Unless separately agreed in writing, we do not promise a particular uptime, response time, backup schedule, or uninterrupted availability of a feature.

Keep independent copies of important business records where you are authorized to do so. The service is not intended to be your only archive. We will provide reasonable notice of a material discontinuation where practicable, except where urgent security or legal reasons prevent it.

11. Suspension and ending access

You may stop using the service and disconnect your Pages. To request account closure or removal of stored information, contact us using the details below and the Privacy Policy instructions. Stopping use does not itself cancel a separately agreed paid plan; follow its disclosed cancellation terms.

We may restrict or suspend access where reasonably necessary to address a breach of these Terms, suspected unauthorized access, harm to others, a legal requirement, or a third-party restriction. Where practicable, we will explain the reason and provide an opportunity to resolve the issue. You may contact us to request review.

After access ends, data is handled under our Privacy Policy and applicable law. We may retain records where legally required or necessary to resolve a dispute. These Terms do not waive anyone's statutory privacy rights.

12. Disclaimers and responsibility

To the extent permitted by law, the service is provided as available, without a guarantee that it will meet every business requirement or that every automated message will be accurate or delivered. We are not responsible for losses caused solely by unauthorized changes you make, your misuse of the service, or third-party services outside our reasonable control.

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses arising from these Terms. This does not exclude responsibility for fraud, willful misconduct, gross negligence, or any obligation or liability that cannot lawfully be excluded. Mandatory consumer protections, privacy rights, and available statutory remedies remain in effect.

13. Governing law, disputes, and updates

Philippine law governs these Terms, without limiting protections that must apply under another jurisdiction's laws. Please contact us first so we can try to resolve a concern. You retain the right to bring a complaint to a competent regulator or court; these Terms do not impose mandatory arbitration or waive that right.

We may update these Terms and will revise the effective date on this page. For material changes, we will provide reasonable notice through the service or an available contact channel before they apply, unless an urgent legal or security change is needed. Changes will not retroactively remove accrued rights. If you do not agree to updated Terms, stop using the service and contact us about closing your account.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Any separate written agreement with Incepxion controls to the extent it expressly changes these Terms.
